Our attorneys have represented issuers, underwriters, institutional investors and placement agents in a wide range of public and private debt and equity securities transactions. On the public side, our attorneys have represented both issuers and underwriters in IPOs, follow-on public offerings, S-3 resale registrations and other financings. Our private securities practice includes traditional private placements of debt and equity securities, PIPEs, Rule 144A debt offerings, and venture capital work. We aid in structuring the transactions, negotiating and preparing various documents and shepherding the financing to closing. Our involvement in the securities markets makes us well-informed of alternative deal terms, which we discuss with our clients in appropriate circumstances to enhance their flexibility.
